Terms of service
These terms govern your access to and use of the Solden website and services operated by Solden Systems Ltd. By using our services, you agree to these terms.
1. Agreement to terms
These terms of service ("Terms") form a binding agreement between you and Solden Systems Ltd. ("Solden", "we", "us"), a company registered in England and Wales under company number 16823002. They apply to your use of soldenai.com and any related products, services and software we provide (together, the "Services"). If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
If you do not agree to these Terms, do not use the Services.
2. Use of the Services
You may use the Services only in compliance with these Terms and all applicable laws. You are responsible for the activity that occurs under any account or credentials issued to you and for keeping them secure.
You agree not to misuse the Services, including by attempting to access them through unauthorised means, interfering with their normal operation, or using them to infringe the rights of others.
3. Replays and paid engagements
Any replay or paid engagement is governed by a separate written agreement that sets out scope, success criteria, fees, controls and the conditions under which Solden may write to a customer's systems. Where that agreement conflicts with these Terms, the agreement prevails.
4. Customer data and ownership
As between you and Solden, you retain all rights to the data and content you connect to or create within the Services ("Customer Data"). Solden keeps the work it performs for you, and its evidence, on your behalf; the underlying data belongs to you.
You grant us the limited rights necessary to operate and provide the Services to you, including processing Customer Data to perform the services you have authorised. Our handling of personal data is described in our privacy policy.
5. Intellectual property
The Services, including all software, design and content provided by Solden, are owned by Solden and protected by intellectual property laws. These Terms do not grant you any right to our trade marks, logos or brand features except as needed to use the Services.
6. Fees
Paid services are subject to the pricing and payment terms set out in the applicable agreement or order. Unless stated otherwise, fees are non-refundable and exclusive of VAT and other taxes.
7. Confidentiality
Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.
8. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent permitted by law, Solden excludes all implied terms, conditions and warranties, including any implied terms as to satisfactory quality, fitness for purpose and non-infringement. Solden is not an auditor, insurer, bank or statutory accounting signatory. Responsibility for signing financial statements, filings and other external representations remains with the customer.
9. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law of England and Wales.
Subject to that, Solden will not be liable for any indirect or consequential loss, or for any loss of profits, revenue, goodwill or data, arising from your use of the Services. Our total liability for all claims arising from these Terms will not exceed the greater of £100 and the amounts you paid us for the Services in the twelve months before the claim.
10. Termination
You may stop using the Services at any time. We may suspend or end your access if you breach these Terms or if the law requires us to. On termination, you may export your Customer Data as described in the applicable agreement, including the close packs and evidence kept on your behalf.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to tell you. Your continued use of the Services after the changes take effect means you accept the updated Terms.
12. Governing law
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
